1. Use of the Wood Mackenzie Website

You are entitled to use the Wood Mackenzie Limited ("Wood Mackenzie") website located at www.woodmac.com ("the Site") and access certain Wood Mackenzie products at the Site only as a permitted user under the Subscription and/or Multi-Client Agreement(s) entered into between you or your employer or one of its affiliates and Wood Mackenzie ("the Subscription Agreements"). As such a permitted user your rights to access and use the Site, and the products on it, are subject to, and you are obliged to comply with, the relevant Subscription Agreements. You may therefore wish to review the relevant Subscription Agreements before accessing the Site.

In using this Site, you are also bound to comply with the terms and conditions set out below ("the Terms"). If there is a conflict between the Terms and the relevant Subscription Agreements, the latter shall prevail.

You may print and keep a copy of these Terms. They are a legal agreement between you and Wood Mackenzie and can only be modified with Wood Mackenzie's consent. Wood Mackenzie reserves the right to change the Terms without your consent, as set out under Section 9 below.

2. Accuracy of Information and Disclaimer

The information and data provided on the Site (the "Data") is provided for general information only. It is not intended to address your particular requirements.

Some of the Data has been or will be obtained from third party suppliers or sources which Wood Mackenzie believes to be reliable, but which Wood Mackenzie cannot guarantee to be reliable. While Wood Mackenzie shall use its reasonable endeavours to ensure that the Data is correct and is obtained from reliable sources, it does not warrant the accuracy and completeness of the Data contained on the Site.

The Data does not constitute any form of advice or recommendation by Wood Mackenzie to you and is not intended to be relied upon by you in making (or refraining from making) any specific investment or other decisions, and you should take your own advice and/or independently verify such information before relying on it. The Data is provided "as is" and Wood Mackenzie accepts no liability and offers no warranties in relation to it, or the Site or its content, and expressly excludes all representations, warranties and conditions and other terms otherwise implied (including, without limitation, any implied warranties of merchantability or fitness for a particular purpose) in relation to the Data to the extent that such can be excluded by law.

The Data contained on the Site is not intended as an offer to buy or sell securities and should not be interpreted as such.

If you believe any information on the Site is inaccurate, please let Wood Mackenzie know by contacting Wood Mackenzie at the email address set out under Section 10 of these Terms so that it may review such information.

3. Intellectual Property Rights

The Data (including any products made available to you pursuant to the Subscription Agreements (the "Products")), and all designs, text and graphics on the Site and the selection or arrangement thereof, and all software and databases forming part of the Site and/or provided by Wood Mackenzie (together "the Material") are owned by and confidential to Wood Mackenzie or its licensors and protected by copyright, database rights and/or other intellectual property rights throughout the world.

All copyright, database rights and other intellectual property rights in the Data and Material are and shall remain vested in Wood Mackenzie or its licensors and except as expressly provided or granted to you by Wood Mackenzie pursuant to the Subscription Agreements or otherwise, you will not acquire any right, title or interest in or to the Data and Material and no such rights are or shall be implied.

Where any of the Data or Material contains or has affixed to it Wood Mackenzie's trade marks, trade names, notices or other proprietary marks, you may not alter, obscure, remove, interfere with or add to any of the said trade marks, trade names, notices or proprietary markings.

Unless expressly stated otherwise in relation to specific products, data or information displayed on the Site, you may read, print and download any [Products] for use in connection with you or your employer's business. In addition, you may use the said [Products] for other purposes, subject to first obtaining Wood Mackenzie's prior written consent or where other uses are expressly permitted in the relevant Subscription Agreements. Where you are permitted under the terms of the relevant Subscription Agreements to use the [Products] for any purpose other than for use internally within you or your employer's business, you must acknowledge on such [Products] that they are owned by Wood Mackenzie and that Wood Mackenzie reserves all intellectual and other proprietary rights therein.

Except as expressly provided herein or under the Subscription Agreements, you may not reproduce, modify, transmit, display, licence, create derivative works from, or sell, transfer, distribute or otherwise commercialise the Data (including the Products) or the Materials without Wood Mackenzie's prior written consent.

Where the Material comprises software, you may not, save to the extent expressly permitted by Section 50B of the Copyright, Designs and Patents Act 1988, decompile, disassemble or reverse engineer any object code of such software.

All use of the Data and the Material by persons who are not otherwise authorised to use them pursuant to Subscription Agreements, whether through unauthorised copying of the [Products] or otherwise, is strictly forbidden. You may be held responsible for any infringement of Wood Mackenzie's intellectual property rights that arise out of or are connected with your granting any unauthorised user access to the Data or Material published on the Site.

4. Links

When you link into a non-Wood Mackenzie site from this Site, please understand it is independent from Wood Mackenzie and that Wood Mackenzie has no control over the content of such independent website. Whilst Wood Mackenzie believes such sites may be of interest to you, Wood Mackenzie does not endorse or accept any responsibility for the content or the use of such websites. Links are therefore made at your own risk and Wood Mackenzie accepts no liability for any linked sites. You must also take your own precautions to ensure what is selected for use is free from any viruses, worms, Trojan horses or other items of a destructive nature.

You may link to our home page, but only provided you comply with the following provisions.

In linking to our home page you must do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link from any website that is not owned by you.

Our site must not be framed on any other site, nor may you modify this site, when linking to it. We reserve the right, at any time, at our discretion, to withdraw linking permission without notice and to require you to remove any existing links.

5. Limitation of Liability

The Subscription Agreements and these Terms set out Wood Mackenzie's entire liability to the subscriber in respect of any Data and Material provided pursuant to the Subscription Agreements or published on the Site.

Under certain circumstances, Wood Mackenzie may accept certain liability to the subscriber under the Subscription Agreements on the terms set out therein. Nevertheless, Wood Mackenzie accepts no liability whatsoever and, to the fullest extent permitted by law, expressly excludes all liability to any individual user for any loss or damage arising out of or in connection with browsing this Site, or use of information provided on this Site or downloading any Data from this Site including but not limited to errors, inaccuracies, omissions and misleading statements whether direct or indirect or consequential.

6. Security of and Right to Access the Site

You are solely responsible in all respects for all use of and for protecting the confidentiality of any user name and password that may be given to you or selected by you for use on the Site. You may not share these with or transfer them to any third parties (including other employees). You must notify Wood Mackenzie immediately of any unauthorised use of them or any other breach of security regarding the Site that becomes known to you.

Access to and use of this Site and the [Products] is limited to the authorised users as specified in the relevant Subscription Agreements and areas of the Site indicated in the Subscription Agreements. If your entitlement to access this Site is the result of your employer's Subscription Agreements with Wood Mackenzie and you have no independent right to access the Site or to download or use the [Products], your licence to use the Site and the [Products] will terminate when your employment with your employer terminates or your employer terminates its Subscription Agreements with Wood Mackenzie. You and your employer shall be responsible for notifying Wood Mackenzie of the termination of your employment, and for any unauthorised use of the Site or [Products] by you after your employment with the subscriber has discontinued.

7. Data Protection and Privacy

Wood Mackenzie's policy on data protection and privacy is set out in its Data Protection and Privacy Policy, which is incorporated by reference into these Terms and which you should also read.

8. Legal Jurisdiction and Dispute Resolution

English law shall apply to these Terms, notwithstanding the jurisdiction where you are based. You irrevocably agree that the courts of England shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms and for those purposes irrevocably submit all disputes to the jurisdiction of the English courts. The place of performance shall be England.

Wood Mackenzie makes no warranty or guarantee that the Site or information available on it complies with laws other than those of England.

9. General

You acknowledge that you are bound by the terms of the Subscription Agreements and that the rights, restrictions and obligations (including the requirements for providing legal notice) which apply to the subscriber apply equally to you in respect of your use of the [Data/Products].

Any formal legal notices to Wood Mackenzie must be sent by first class post (receipt requested) or confirmed by fax to the address set out under paragraph 10 below.

Failure by Wood Mackenzie to enforce a right does not result in waiver of such right.

If any provision or clause in these Terms is deemed to be invalid, illegal or unenforceable, the rest of the Terms set out herein will remain in full force and effect.

These Terms together with the terms of the Subscription Agreements, the Conditions of Use, and the Data Protection and Privacy Policy (together, the "Agreements") constitute the entire agreement between you and Wood Mackenzie relating to your use of the Site, and supersede all other or previous agreements and understandings between you and Wood Mackenzie.

Your right to use the Site and the [Data/Products] is personal to you. You may not assign or transfer your rights hereunder.

Wood Mackenzie may amend these Terms at any time by posting such changes on this page of the Site. You should therefore review these Terms from time to time.
